Terms & Conditions
The binding agreement governing your access to and use of the Clinexus Platform, its services, AI tools, and associated features.
- "Clinexus", "Platform", "we", "us", "our" refers to Clinexus Healthcare Edutech Private Limited, including its website, applications, services, modules, AI tools, and associated infrastructure.
- "User", "you", "your" means any individual or entity accessing or using the Platform.
- "Services" include educational tools, mentorship, networking, AI utilities, marketplace access, and related digital features.
By accessing, registering, or using Clinexus, you:
- acknowledge reading and understanding these Terms
- agree to be legally bound under the Information Technology Act, 2000
- consent to electronic contracts and records
Clinexus is strictly:
Clinexus:
- a non-clinical, non-patient-facing professional ecosystem
- an educational and networking platform only
- does NOT provide medical advice, diagnosis, prescriptions, or treatment
- does NOT establish a doctor–patient relationship
- does NOT validate or certify user opinions
By using Clinexus, you represent and warrant that:
- you are at least 18 years old
- information provided is accurate and current
- you possess required professional credentials where claimed
- you will comply with applicable laws and professional ethics
- you will not upload unlawful, misleading, or infringing content
Clinexus may verify credentials at any time.
Users are solely responsible for:
- account credentials
- activities conducted through their account
- notifying unauthorized access immediately
Clinexus is not liable for losses caused by user negligence.
Clinexus operates as an intermediary under:
- Section 2(w) and Section 79, Information Technology Act, 2000
- IT (Intermediary Guidelines & Digital Media Ethics Code) Rules, 2021
Clinexus may provide AI-powered tools. Users acknowledge:
- AI outputs are probabilistic and may be inaccurate
- outputs are informational only
- AI must not be relied upon for medical, legal, academic, or professional decisions without independent verification
Access to modules may be:
Clinexus may modify, suspend, or discontinue services at any time without liability.
- role-based
- subscription-based
- time-limited
Certain services require payment.
- Fees are non-transferable and non-refundable except where legally required
- Pricing may change with notice
All Platform elements including branding, software, UI, databases, and content structure are the exclusive property of Clinexus.
Users retain ownership of submitted content but grant Clinexus a perpetual, worldwide, royalty-free license to host, reproduce, and distribute such content within the Platform.
Users shall not:
- share identifiable patient data
- impersonate professionals
- upload unlawful or defamatory content
- misuse AI tools
- conduct unauthorized promotions
- interfere with platform security
Clinexus may remove content without notice.
Users agree to maintain confidentiality of:
- professional discussions
- institutional information
- restricted platform content
Clinexus may integrate third-party providers (payments, hosting, analytics).
Clinexus is not responsible for third-party services, policies, or failures.
The Platform is provided "AS IS" and "AS AVAILABLE."
Clinexus makes no warranties regarding:
- accuracy
- reliability
- availability
- uninterrupted operation
- fitness for a particular purpose
To the maximum extent permitted by law, Clinexus shall not be liable for:
- indirect, incidental, consequential, punitive, reputational, or regulatory damages
Nothing excludes liabilities that cannot legally be excluded.
Users agree to indemnify and defend Clinexus, its directors, employees, and affiliates against claims arising from:
Users shall reimburse reasonable legal costs incurred.
- misuse of the Platform
- user content
- professional reliance
- legal violations
All obligations lie solely with Clinexus Healthcare Edutech Private Limited.
No director, founder, employee, advisor, or affiliate shall bear personal liability except where required by non-waivable law.
Clinexus may suspend or terminate access without notice for:
- policy violations
- risk mitigation
- legal compliance
Certain provisions survive termination, including liability and arbitration clauses.
Clinexus is not liable for failures caused by events beyond reasonable control including:
- cyberattacks
- infrastructure failures
- government actions
- third-party outages
All disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.
- Seat: Hyderabad, Telangana, India
- Single arbitrator mutually appointed, failing which appointed under applicable law
- Language: English
- Class or representative actions are not permitted to the extent legally allowed
Courts at Hyderabad retain supervisory jurisdiction.
Clinexus may assign or transfer these Terms without user consent.
Users may not assign rights without written permission.
Clinexus may update these Terms periodically.
Continued use after updates constitutes acceptance.
If any provision is invalid, remaining provisions remain enforceable.
These Terms constitute the entire agreement between Users and Clinexus and supersede all prior communications.
These Terms are governed by the laws of India.
